These Terms & Conditions (“Terms”) govern your access to and use of the website operated by Kelp and the purchase of our digital compliance products and services.
By accessing our website or purchasing any product, you agree to be bound by these Terms.
1. Nature of Products
▪ All products available on this website are digital products only. No physical products will be shipped.
▪ Products may include PoSH policies, compliance toolkits, IC documentation formats, awareness materials, e-learning modules, digital compliance certificates, and downloadable guides.
▪ Where included in the purchased package, the organisation is entitled to 10 (ten) e-learning training licenses for employee awareness on PoSH. These licenses are for digital, self-paced e-learning access only. No in-person training sessions, instructor-led workshops, or on-site visits will be delivered as part of this offering unless separately contracted and confirmed in writing.
▪ The e-learning licenses issued under this package will be valid and active for a period of 45 (forty-five) days from the date of issuance. Employees are required to complete the e-learning programme within this stipulated timeline. Any request for extension beyond the 45-day validity period will be considered subject to availability and will incur an additional per-license charge at rates mutually agreed upon in writing at the time of such request.
▪ Licenses once issued are non-transferable and cannot be reused or reassigned to any other individual. Each license is allocated to a specific user and access cannot be shared, transferred, or repurposed once activated.
2. Digital Delivery
▪ Upon successful payment, access to digital files will be provided via email and/or customer account dashboard.
▪ Delivery is deemed complete once access has been shared electronically.
▪ Customers are responsible for providing accurate email details and securely storing downloaded files.
3. License & Permitted Use
▪ All digital products are licensed, not sold.
▪ Purchase grants a non-exclusive, non-transferable, limited license for internal organisational use only.
▪ Products may not be resold, shared externally, redistributed, uploaded publicly, or modified for resale.
▪ Unauthorized use may result in suspension and legal action.
4. Contract Validity
▪ The engagement between Kelp and the purchasing organisation shall be valid for a period of 1 (one) year from the date of purchase or activation, whichever is earlier (“Contract Period”), unless terminated earlier in accordance with these Terms or extended by mutual written agreement.
▪ All included services, licenses, and empanelments under the purchased package are subject to this Contract Period. Access to services, e-learning licenses, and External Member empanelment will cease upon expiry of the Contract Period unless renewed.
▪ Renewal of the contract is subject to mutual agreement and prevailing pricing at the time of renewal. Kelp reserves the right to revise the scope, pricing, or terms at the time of renewal with prior notice to the organisation.
5. External Member Empanelment for IC Formation
▪ Where included in the purchased package, Kelp will facilitate the empanelment of a qualified External Member to support the formation of the organisation’s Internal Committee (IC) as required under the PoSH Act, 2013.
▪ The External Member empanelment covers the formal nomination and documentation support for IC constitution only. Any additional services rendered by the External Member beyond IC formation — including but not limited to inquiry support, hearing facilitation, legal advisory, sensitisation sessions, or case consultation — are not included in the standard package and will be charged separately at ₹3,000 (Rupees Three Thousand) per hour, or as mutually agreed in writing prior to the engagement.
▪ The organisation must obtain written confirmation from Kelp before availing any such additional services. Kelp shall not be liable for the conduct, opinion, or decisions of the External Member in their independent capacity.
▪ The organisation is obligated to notify Kelp of any PoSH-related complaints, cases, inquiries, or activities that arise during the period of engagement with Kelp. In the event that any such cases or activities are handled independently and without prior notification to Kelp, Kelp shall bear no responsibility, liability, or accountability for the process followed, outcome reached, or any legal, reputational, or regulatory consequences arising therefrom.
▪ At the time of contract renewal, if the organisation does not wish to continue their engagement with Kelp, they are required to formally notify Kelp in writing within a reasonable notice period prior to the renewal date. Upon such notification, the organisation must ensure that the empanelled External Member is removed from their Internal Committee records. Failure to provide due notification of non-renewal while retaining the External Member on the IC shall be the sole responsibility of the organisation, and Kelp shall not bear any liability in respect thereof.
6. Compliance Disclaimer
▪ Products support compliance under The Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013 (India).
▪ Final compliance responsibility rests with the purchasing organisation.
▪ Purchase does not guarantee immunity from legal scrutiny or penalties.
7. Certificate Validity & Revocation
▪ Certificates (e.g., “PoSH Compliant for FY XXXX–XX”) are issued subject to accurate and truthful information provided by the organisation.
▪ Kelp reserves the right to revoke certificates if false information, misrepresentation, or misuse is discovered.
▪ Certificate issuance signifies completion of purchased components and is not a government certification.
8. Pricing & Payments
▪ All prices are listed in INR unless stated otherwise.
▪ GST (if applicable) will be charged as per Indian law.
▪ Payments are processed via secure Shopify-supported gateways.
▪ Kelp does not store card or payment details.
▪ Pricing may be modified without prior notice.
9. Technical Requirements
▪ Access requires stable internet and compatible devices.
▪ Kelp is not responsible for device, firewall, or connectivity limitations on the customer’s end.
10. Intellectual Property
▪ All templates, frameworks, certificates, and materials are intellectual property of Kelp HR and protected under Indian copyright laws.
▪ No ownership rights are transferred upon purchase.
11. Limitation of Liability
▪ Kelp shall not be liable for indirect or consequential damages, revenue loss, or penalties arising from misuse.
▪ Total liability shall not exceed the amount paid for the product.
12. Modifications to Terms
▪ Kelp reserves the right to update these Terms at any time.
▪ Continued use of the website constitutes acceptance of revised Terms.
